Riassunto (Inglese)
This thesis demonstrates how corruption prevention and transparency serve as strategic levers for generating Public Value, moving beyond the view of compliance as a mere bureaucratic burden. The research focuses on the case study of Ferrovie dello Stato Italiane Group (FS), a key operator with significant economic and social impact.
In the first chapter, corruption is analyzed as a managerial risk through the metaphor of its 'metamorphosis' and explained using Agency Theory and Becker's economic model. To counter it ex-ante, the framework adopts Enterprise Risk Management (COSO ERM, ISO 37001, Legislative Decree 231/01, Law 190/12) and process mapping via the MIAR matrix, which is vital in critical areas such as revolving doors, PNRR procurement, and rail network access.
In the second chapter, applying Mark Moore's 'strategic triangle,' the analysis shows how corruption generates 'false value.' Although exempt from formal PIAO requirements, FS integrates this logic by embedding ethical KPIs into its Strategic Plan, adopting Double Materiality (CSRD, GRI 205), and proving that integrity boosts financial and ESG performance.
In the third chapter, the operational architecture based on Zero Tolerance is examined: Anti-Corruption Policy, 231 Model, e-procurement, and whistleblowing protections (Legislative Decree 24/2023).
In conclusion, managing corruption risk at FS proves to be a strategic intangible investment that protects reputation while delivering measurable and sustainable Public Value.
