L’obiettivo della tesi è quello di porre l’accento sull’importanza di dotarsi di un adeguato sistema di gestione dei rischi. Questo lavoro si basa sulla logica dell’Enterprise Risk Management (ERM), un approccio “olistico” di gestione dei rischi.
Il primo capitolo verrà analizzato il concetto di rischio in tutte le sue sfaccettature, nonché la relazione fra rischio e creazione di valore.
Nel secondo capitolo si esaminerà l’evoluzione del concetto di risk management ed i più noti approcci alla gestione del rischio. Si esaminerà il sistema di risk management facendo riferimento agli attori, al processo e agli strumenti impiegati, nonché la relazione intercorrente fra il risk management ed il sistema di controllo interno. Infine, si analizzerà brevemente l’attuale diffusione del risk management nelle medie imprese italiane.
Il terzo capitolo sarà dedicato esclusivamente al modello di Enterprise Risk Management, analizzando i principali framework emanati dal CoSO (ERM – Integrated Framework 2004” e successivamente il suo aggiornamento “ERM – Integrating with Strategy and performance”).
Per finire, il quarto ed ultimo capitolo, propone un caso applicativo relativo alla predisposizione di un modello Enterprise Risk Management, il caso elaborato sulla base delle informazioni relative ad un incarico di consulenza svolto dalla Società Marsh Advisory per un Gruppo di Società, descrive le attività che i consulenti hanno condotto alla proposta di aggiornamento del modello ERM del Cliente

the aim of the thesis is to emphasize the importance of adopting an adequate risk management system. This work is based on the logic of Enterprise Risk Management (ERM), a "holistic" risk management approach.
The first chapter will explore the concept of risk in all his sides.
The second chapter will examine the evolution of the concept of risk management and the best known approaches to risk management. It will examine the risk management system with reference to the actors, the process and tools used, as well as the relationship between risk management and the internal control system. Finally, the current diffusion of risk management in medium-sized Italian companies will be briefly analyzed.
The third chapter will be dedicated exclusively to the Enterprise Risk Management model, with reference to the frameworks issued by the CoSO (ERM – Integrated Framework 2004” and subsequently its update “ERM – Integrating with Strategy and performance”).
The fourth and final chapter proposes an application of an Enterprise Risk Management model, elaborated on the basis of information relating to a consultancy assignment carried out by the Marsh Advisory Company for a Group of Companies. It describes the activities that consultants led to the update of Customer's ERM model.
