Riassunto
Mergers and acquisitions are increasingly commonplace thanks to globalization, technological developments, liberalization and saturated competitive business environment. These operations are connected with Corporate governance, because M&As are aimed at redesigning the company structure, and mainly the organizational set-ups. However, these operations are popular but at the same time difficult and risky, because in the planning pre- M&A the society doesn’t consider organizational and integration problems, and for this reason the rate of failure of these operations is really high.
Anyway, these operations are undertaken because M&As give to the company a lot of opportunities, like: to expand the growth domestically and internationally, to increase access to capital markets, to create synergies and improve operating efficiency. Most of researches conducted on M&A activities have recognized that firms prefer to enlarge their activity by merging or acquiring new business rather than enlarging organically, in both Developed and Emerging economies, though each country has different risks and opportunities. The concluding part of the thesis is dedicated to the exposition of two different acquisition cases: Agecredit acquired by a Polish company KRUK, and Fibar acquired by an Italian company NICE: this allows to compare the acquisitions that took place in two different European countries.
